ENTIRE AGREEMENT: This is the entire agreement between you, the Affiliate, and Conscious

Millionaire Institute, LLC. No term may be changed without a signed change agreement signed

by yourself, if unincorporated, otherwise by an officer of your Affiliate business and by James

“JV” Crum III, Managing Member of Conscious Millionaire Institute, LLC. These terms apply to Mindset to Millons on March 11-13, 2022, and unless specifically excluded, to all other Conscious Mllionaire Institute, LLC Events and Ongoing Programs that are held or begin in 2022 to which you are an Affiliate. 

INDEPENDENT CONTRACTOR STATUS: Affiliate is operating as an independent contractor, and

not as an employee of Conscious Millionaire Institute, LLC. Affiliate is solely responsible for the

selection, hiring, training, and supervision of its own employees, contractors, or agents together

with making all payments for both Affiliate’s own and Affiliate’s employee’s, contractor’s or

agent’s salary, compensation, benefits, insurance, taxes, and any other employee, contractor, or

agent compensation related costs or expenses. At no time, shall Affiliate or Affiliate’s

employees, contractors, or agents be considered the employees, contractors, or agents of

Conscious Millionaire Institute, LLC.

PAYMENT CALCULATION TO AFFILIATE: Your sole Affiliate Independent Contractor

compensation shall be the percentage of sales for Mindset to Millions 3-Day Virtual Event that

you earn using the “last click” rule (see below). Ticket prices for the Mindset to Millions Event

are not guaranteed, and may increase or decrease at various times; however, prices for tickets

that your leads will be offered to purchase for the Mindset to Millions Event are anticipated to

range from four-hundred ninety-seven US Dollars ($497.00) to nine-hundred ninety-seven US

Dollars ($997.00). Additionally, from time to time, tests or specials may be offered, for example

a two-for-one (purchase one ticket at the regular price or at an increase over regular price and

receive two tickets instead of one). Payment calculations shall be made as follows: (1) Tier 1

(payments for purchases by your leads / list) shall result in a payment to you, Affiliate, in the

amount of sixty (60%) percent of the actual ticket price paid by your lead. (2) Tier 2 (payments

for purchases made by leads for any referral Affiliate that you invite to and signs up for the

Affiliate Launch) shall result in a payment to you, Affiliate, in the amount of twenty-five (25%)

percent the actual ticket price paid by your referred Affiliate’s lead.

“LAST CLICK” PAYMENT RULE: Payment shall be made on the LAST Affiliate whose lead clicks

and signs up for First Million Masterclass and related thereto, ticket purchases for Mindset to

Millions 3-Day Virtual Event held on March 11-13, 2022.

PAYOUT PERIOD: Payments shall be made approximately sixty (60) days after the date a sale is

completed, with all payments being made at the end of a specific month (not on multiple dates

within any given month). Alternative payment schedule (may result in less than sixty (60) days

payment terms): Payment at the end of the next calendar month following the month in which

any given sale is made. A sale shall be deemed as complete on the specific date that money

clears and is deposited into Conscious Millionaire Institute, LLC’s bank account or other

financial account, such as a Paypal account.

 

REFUNDS: In such case there is a refund of a purchase by one of your leads (or a referred

Affiliate’s leads) on which you, the Affiliate, earned a commission, shall be paid by you, Affiliate,

to Conscious Millionaire Institute, LLC as follows: (1) first, the refund commission amount shall

be deducted from payments owed to you, the Affiliate, in the current month; (2) second, the

refund commission amount shall be deducted from any monies owed to you, Affiliate, from

future payments which are to be paid to you, Affiliate, where said commission payment due 

date is no more than thirty (30) days from the date of the actual refund by Conscious Millionaire

Institute, LLC to customer; (3) third, if no monies are currently owed to you, Affiliate, by

Conscious Millionaire Institute, LLC, as specifically described hereinabove, then from the date

an email billing notice in the amount of the outstanding commission amount (resulting from

refund/s to your leads or a referred Affiliate’s leads who purchased tickets) is sent to you,

Affiliate, then you agree to pay Conscious Millionaire Institute, LLC, by Paypal, the amount due

within fifteen (15) days of any said billing being sent to you, Affiliate, by Conscious Millionaire

Institute, LLC.

LIMITATION OF AFFILIATE COMPENSATION: This Affiliate Agreement only applies to ticket sales

to Mindset to Millions, and to NO other additional products or services that any of Affiliate’s

leads (or referred Affiliate’s leads) may purchase from Conscious Millionaire Institute, LLC (or

their own partner Affiliates) before, during, or after any Mindset to Millions 3-Day Virtual Event.

GOVERNING LAW. This Agreement shall be interpreted according to the laws of the

State of Colorado without regard to or application of choice-of-law rules or principles.

MODIFICATION: This Agreement may only be modified by a document signed by you

and the appropriate representative of Conscious Millionaire Institute LLC.

THIRD PARTY BENEFICIARIES. This Agreement is solely for the benefit of BUYER

and CONSCIOUS MILLIONAIRE INSTITUTE, LLC, their respective successors and

permitted assigns, and does not confer, in any matter whatsoever, any rights or

remedies to any other person or entity.

AGREEMENT IS FULLY BINDING: This Agreement, and any modifications or addenda

to it, shall inure to the benefit of both you and Conscious Millionaire Institute LLC, as

well as to each party’s respective successors-in-interest, heirs, assigns, or legal

representatives.

NO WAIVER: Neither the failure of you or Conscious Millionaire Institute LLC to

exercise or enforce is rights hereunder, shall be considered a waiver for the purpose of

any subsequent breath. The waiver of any breach shall not be considered the waiver of

subsequent breaches.

ASSIGNMENT: You may not, without the prior written consent of

Conscious Millionaire Institute LLC, assign this Agreement, in whole or in part,

either voluntarily or by operation of law, and any attempt to do so shall be a

material default of this Agreement and shall be void. You understand and agree

that Conscious Millionaire Institute LLC’s rights and obligations, in whole or in part,

under this Agreement may be assigned or transferred by Conscious Millionaire

Institute LLC.

DAMAGE WAIVER / NO RESULTS GUARANTEE: You understand and agree that

Conscious Millionaire Institute LLC does not guarantee any specific results from your

becoming an Affiliate or promoting any Conscious Millionaire Institute, LLC products or

services. Conscious Millionaire Institute LLC makes no representations or warranties,

express or implied, of any kind whatsoever, as to specific outcomes or results and shall

have NO liability for CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL OR

OTHER SIMILAR DAMAGES, AS WELL AS EXEMPLARY OR PUNITIVE DAMAGES,

You understand and agree that you shall be fully and completely responsible for your

results and outcomes you achieve or fail to achieve, including any original capital or

profit losses any specific results or outcomes.

FORCE MAJEURE: If due to an act of God, nature, war, strike, embargo, government

regulation, civil or military act, authority, or omissions of carriers, transmitters,

providers, or vandals, Conscious Millionaire Institute, LLC is prevented from

performing any of its obligations under this Agreement, then the time for Conscious

Millionaire Institute, LLC’s performance shall be extended for the period of the

delay or inability to perform due to such occurrence.

NON-USE OF TRADEMARKS: You understand and agree that you are granted NO

rights, whatsoever, to use "CONSCIOUS MILLIONAIRE" or any other trademark used, 

licensed to or owned by Conscious Millionaire Institute, LLC. You also agree to NOT use "CONSCIOUS MILLIONAIRE" or "JV CRUM III" in any marketing, promotion or publicity 

for your programs, products or services. EXCEPTION: However, you, the Affiliate, are hereby granted the express right to use the above when promoting or marketing as an Affiliate the Conscious Millionaire Institute LLC programs, products or services covered under this Affiliate Agreement. 

INTELLECTUAL PROPERTY RIGHTS: Conscious Millionaire Institute LLC, retains all

ownership rights to the materials provided to you, in any form, media or medium, including,

but not limited to, copyrighted or trademarked materials, provided to you during, related to, or

after this Agreement and Relationship. No license to sell or distribute same is granted or

implied. You agree NOT to reproduce, duplicate, copy, sell, trade, resell, or exploit for any

commercial or personal purposes or gain, any materials or portion thereof, provide to you

related to this Agreement or Relationship.
